These Terms and Conditions (“Agreement”) apply to the provision of Google Ads Management Services (“Services”) by Webtoun Ltd. (“Webtoun”, “We”, “Us”, “Our”) to the client (“You”, “Client”).
Webtoun will:
Set up, manage, and optimise advertising campaigns via Google Ads (Search, Display, YouTube, Shopping, etc.).
Provide performance insights and reporting as agreed (weekly, biweekly, or monthly).
Use the Client’s Google Ads account or Webtoun’s Manager Account (MCC) based on agreement.
The Client agrees to:
Grant necessary access to their Google Ads, Google Analytics, and relevant tools.
Provide correct business details, approved creatives, and campaign goals in a timely manner.
Ensure compliance with Google’s advertising policies and UK law.
Maintain an active and properly funded payment method within their Google Ads account.
Webtoun’s service fees are payable in advance, separate from Google’s advertising charges.
Ad Spend Responsibility: The Client is fully and solely responsible for all Google Ads spend.
Ad spend is paid directly to Google via the Client’s billing setup.
Webtoun does not process, invoice, or control ad spend unless explicitly agreed in writing.
If Webtoun temporarily runs ads through its own account, the Client must prepay ad spend in full, and such payments are non-refundable.
Webtoun is not liable for campaign disruption caused by insufficient funds, billing issues, or credit card failures.
Payments to Webtoun cover strategic planning, setup, optimisation, and service time – not results.
No refunds are issued once campaign setup or monthly management has begun.
Either party may terminate this agreement with 14 days’ written notice. Prepaid services will continue until the end of the billing period.
Webtoun does not guarantee leads, conversions, click-through rates (CTR), cost-per-click (CPC), or sales outcomes.
Campaign results depend on many variables, including website quality, product/service appeal, audience behaviour, competition, and ad budget.
The Client is responsible for final ad approval.
Webtoun will not be liable for account suspensions or rejected ads due to policy violations if the Client supplies or insists on non-compliant materials.
If the Client overrides Webtoun’s strategic recommendations, they accept full responsibility for the outcome.
Ad creatives, copy, and strategies designed by Webtoun remain our intellectual property unless agreed otherwise.
The Client retains rights to their brand materials, logos, and pre-supplied assets.
Webtoun is not liable for:
Google platform outages, account suspensions, or algorithm changes.
Campaign disruptions caused by factors beyond our control.
